1. Agreement to These Terms

By creating an account, accessing, or using Enterprisely at enterprisely.biz, you agree to these Terms of Service. If you do not agree, do not use the service.

2. Description of the Service

Enterprisely is software designed to help organizations collect business records, extract structured ESG-related data, review evidence, automate selected imports, and generate reporting outputs. Current features may include:

• Document upload and storage for supported file types.
• AI-assisted extraction of structured values and evidence from uploaded or imported files.
• Review workflows, confidence indicators, and human confirmation tools.
• Dashboard views, readiness indicators, data-gap workflows, and action-plan generation.
• Framework-aligned report generation and export functionality.
• Optional automation features, including portal imports, scheduled imports, and Google Drive sync when configured.

3. Accounts and Access

You must provide accurate information when creating an account and keep your credentials confidential. You are responsible for activity that occurs under your account and within your organization workspace. If you believe your account has been compromised, contact support@enterprisely.biz.

4. Your Data and Our License to Process It

• Your content — you retain rights in the documents, company information, and other materials you submit to the service.
• Your instructions to us — you give us a limited, non-exclusive right to host, store, copy, process, transmit, analyze, and display your content only as needed to operate the service and the features you use.
• Your responsibility — you represent that you have the rights and permissions needed to upload content, connect folders, and authorize portal access.
• Our platform — the Enterprisely application, interface, workflows, and underlying software remain our property or that of our licensors.

5. AI-Assisted Outputs

Enterprisely uses AI and document-processing systems to extract fields, generate suggestions, draft narrative content, and support reporting workflows. You acknowledge that:

• AI-assisted outputs may be inaccurate, incomplete, or unsuitable for your specific regulatory or business context.
• You are responsible for reviewing extracted values, confidence indicators, evidence references, and generated report content before using them.
• Any action plans, draft narratives, classifications, or calculations produced by the service are informational only and are not legal, accounting, regulatory, or investment advice.
• You remain responsible for the final reports, disclosures, filings, and business decisions you make.

6. Automation and Third-Party Connections

If you use automation features, you authorize us to act on the instructions you provide inside the product, including running imports against portals or connected folders you configure.

• You may connect only portals, folders, and third-party accounts you are authorized to access.
• If you provide portal credentials, you acknowledge they may be stored inside your organization's automation settings to support future scheduled imports.
• If you connect Google Drive, you authorize us to use the granted access token(s) to read files from the folder you configure for sync.
• You are responsible for the legality of your use of automation features and for any permissions or notices required in your organization.

7. Acceptable Use

You agree not to:

• Upload unlawful, fraudulent, infringing, malicious, or intentionally misleading content.
• Use the service to access third-party portals, accounts, or files without authorization.
• Attempt to disrupt, probe, scrape, reverse engineer, or bypass platform safeguards except as allowed by law.
• Use the service in a way that violates applicable law, contractual obligations, or third-party rights.
• Interfere with the normal operation, security, or availability of the service.

8. Service Changes, Availability, and Beta Features

We may add, remove, modify, or suspend features at any time. Certain capabilities may be experimental, depend on third-party providers, or be unavailable in some environments. We do not guarantee uninterrupted availability, error-free operation, or that any feature will remain available in its current form.

9. Suspension and Termination

You may stop using the service at any time. We may suspend or terminate access if we reasonably believe you have violated these Terms, created security risk, exposed us or others to liability, or used the service in a way that could harm the platform or other users. Data handling after termination is governed by our Privacy Policy.

10. Disclaimers

The service is provided on an "as is" and "as available" basis to the maximum extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that reports generated through the service will satisfy any legal, audit, investor, customer, or regulatory requirement without your review.

11. Limitation of Liability

To the maximum extent permitted by law, Enterprisely will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business opportunity, or data arising out of or related to your use of the service.

• This includes losses arising from inaccurate extraction, report content, automation runs, failed imports, or third-party service interruptions.
• If liability cannot be excluded, our aggregate liability will be limited to the amount you paid us for the service in the 12 months before the claim, or USD 100 if you have not paid us anything, whichever is greater.

12. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we may provide notice by updating this page, sending email, or displaying an in-product notice. Your continued use of the service after the updated Terms become effective means you accept them.
